Intellectual Property

Auriga Associates have completed the sale of the Intellectual Property Rights of a global manufacturer. Instructed to negotiate with potential partners who had been identified as suitable for the development of the brand, we led negotiations, drew up detailed Heads of Terms and contracts.

The process included preparing a virtual data room in readiness for Due Diligence, a process which identified flaws in the deduction of Title which was rectified by pursuing missing information and contacting the relevant parties to verify the holder’s rights. The structure of the deal required the establishment of a new company whose exclusive purpose was to hold the Intellectual Property, grant licences, and collect royalties.

We drew up licences, including a Manufacturing Agreement, Articles of Association, Shareholder Agreements, and sale contracts. The project was started and completed within 6 months.
